UCloud Global User Agreement

Preface

Welcome to visit the UCloud Global Cloud Service website and use our products and services. Before you complete the registration process, please be sure to read and thoroughly understand this UCloud Global User Agreement, and choose to accept or reject this user agreement only after you have fully understood it. Once you have completed the “agree to the terms and register” or have started to use the UCloud Global cloud service in other ways, it is deemed that you have read and agreed to be bound by this user agreement. If you do not agree to the terms of this user agreement or any of its provisions, you should not proceed with the next registration process.

UCloud Global reminds you once again to read this agreement carefully and fully understand its terms, particularly those that you need to pay attention to, which will be highlighted in bold or other noticeable ways.

If you are under 18 years old, please read the terms of this user agreement in the presence of a legal guardian.

The business information of you and the company that you represent (collectively referred to as “you”) must comply with the Telecommunications Regulations of the People’s Republic of China, the Measures for the Administration of Internet Information Services, the Interim Provisions on the Administration of International Internet Access to the Computer Information Network of the People’s Republic of China, the Measures for the Administration of Security Protection of International Internet Access to the Computer Information Network, the Company Law of the People’s Republic of China, and other relevant laws, regulations, rules, and other normative documents of the state. You shall not engage in any illegal business activities, take responsibility for your network information security, and have the ability to assume the information security responsibilities after connecting to the network.

  1. If you actually accept the UCloud Global cloud service, it means that you have carefully read, understood, and agreed to accept the “UCloud Global Cloud Computing Technology Service Framework Agreement”, “UCloud Global Cloud Platform Security Rules” on the UCloud Global website documentation center, choose to use other product services corresponding to the special agreement (such as SLA) and other related rules and agreements that are publicly announced. If you have a special agreement on the rights and obligations of cloud services with the UCloud Global under the signed online relevant agreement or other offline cloud service related agreements, it will be executed according to the special agreement.

  2. You understand and agree, to ensure account and transaction safety, UCloud Global reserves the right to require you to complete the UCloud Global account real-name authentication at any time; meanwhile, UCloud Global may require you to provide more identity documents and information for further identity authentication or qualification verification in order to open certain products or services. Your account can only be permitted to use the relevant products or services after passing these authentication and verification.

You should ensure that the account information you provide is true, accurate, and valid and ensure that UCloud Global can contact you through your contact information. If there are any changes to the information, please update your account’s information in a timely fashion. If you provide false, outdated, incomplete, or inaccurate information or materials, you will not be able to use the account (cannot successfully register, or have the account freeze or be deleted), or may potentially incur losses in accepting the website services. All consequences and responsibilities are to be borne by you alone.

Your account will be identified by your username and password, and you must take care of your username and password. Any losses caused due to account and password leakage will be borne by you alone. If you discover that your account has been appropriated, please contact UCloud Global immediately through an effective approach. Once UCloud Global verifies the information, you have the right to request the suspension of all functions of your account. UCloud Global does not bear any responsibility for the operations executed before the suspension of functions and the losses suffered.

UCloud Global allows a legal entity to own multiple UCloud Global accounts, but each UCloud Global account can only correspond to one unique legal entity (that is, the subject of real-name authentication). Unless there is a legal provision or confirmation by a legally effective legal document, or the conditions published by UCloud Global are met, you should not transfer, give away, or let someone else inherit your UCloud Global account under any circumstances. At the same time, when transferring, giving, or inheriting an UCloud Global account under eligible conditions, UCloud Global reserves the right to request you, and/or the recipient or your inheritor to provide qualified documentary materials and proceed according to the operation procedures required by UCloud Global.

Generally, your UCloud Global account is the only identity recognition basis for all your activities on this website, and each UCloud Global account can independently carry out activities on this website. However, under the following circumstances, UCloud Global reserves the right to process multiple UCloud Global accounts owned by the same and/or related legal entity as a whole, including but not limited to:

  1. There exist associated relationships such as main accounts and sub-accounts, authorized accounts and authorized accounts among multiple UCloud Global accounts, and according to the provisions of laws, regulations, this service agreement, UCloud Global’s product terms, or other UCloud Global’s rules, all accounts bear joint and several responsibilities to each other;

  2. Multiple UCloud Global accounts are the same real-name authenticated entity, and two or more UCloud Global accounts simultaneously have malicious arrearages and/or violate laws, regulations, this service agreement, UCloud Global’s product terms, or other UCloud Global’s rules;

  3. Multiple UCloud Global accounts bind the same account payment, and two or more UCloud Global accounts simultaneously have malicious arrearages and/or violate laws, regulations, this service agreement, UCloud Global’s product terms, or other UCloud Global’s rules;

  4. Multiple UCloud Global accounts have one or more same registration information, make payment on behalf of others, purchase products or services for the same purpose, or have other associated circumstances, and have malicious arrearages and/or violate laws, regulations, this service agreement, UCloud Global’s product terms, or other UCloud Global’s rules. Also, UCloud Global, combined with other related evidence, can sufficiently judge that the above UCloud Global accounts practically belong to the same legal entity or the same group;

  5. Other circumstances where UCloud Global has reasonably adequate reasons to process multiple UCloud Global accounts as a whole.

You promise and guarantee that you are aware of the provisions of Articles Twelve and Twenty-three of the Security Management Measures for Internet Information Services (Ministry of Public Security Order No. 33), according to which information source users shall go to the designated acceptance agency of the provincial, autonomous regional, or municipal people’s government’s public security agency where they are located to handle the filing procedures within 30 days starting from the formal internet connection. Those who fail to perform the filing duties will be given a warning or a halt to the rectification of not more than six months by the public security agency.

You promise and guarantee that you have thoroughly checked all the contents of the websites accessing the network and solemnly pledged and ensure that all information provided by you is from a legal source, does not infringe on the rights of third parties (including but not limited to personal rights such as the right to reputation, the right to a portrait, etc. and property rights such as intellectual property rights, etc.), and does not violate ethics, morality, and public decency.

You promise and guarantee that you will undertake the maintenance management and business operation of the contents of the websites connected to the network, and ensure the safe management of the contents of the websites you run, preventing them from being attacked or invaded. Due to your website being attacked or invaded (including but not limited to Trojans, hackers, cracking or reverse engineering), etc., which resulted in the interruption or termination of the services provided by us, the relevant responsibilities and losses will be borne by you alone; when an emergency occurs, in order to protect the legitimate rights and interests of the majority of users, our company has the right to take corresponding measures without prior notice to you. Our company will not bear any responsibility for the losses your information suffered due to the above reasons; if this resulted in the loss of other customers, our company will reserve all the rights for legal redress.

You are aware and agree that, under the authorization or requirement of government-related departments, government regulatory departments, law enforcement agencies, or telecommunications operators, have the right to inspect the information content publicly available to information source users by browsing and require you to modify and delete inappropriate information content; such inspection and browsing do not violate the relevant confidentiality principles.

You are aware and agree that, all of your recharge and consumption are expressions of your true intentions. Our company will charge according to the product rules on the UCloud Global official control panel. You have the obligation to pay in a timely manner for the product fees you have used. Due to your arrearages or failure to perform the obligation of payment, we have the right to reclaim your resources and bear no responsibility for this according to the rules. At the same time, we shall reserve all rights for legal redress. If you need to issue an invoice after consuming our company’s products or services, you need to provide accurate invoice information according to the requirements of our company’s invoice application-related regulations. Our company will not bear any responsibility for the losses caused by the erroneous or incomplete information you provided. Given the special nature of the UCloud Global annual payment products, annual payment orders require a one-time advance recharge payment or transfer payment and do not allow deletion and refunds.

Some UCloud Global Cloud services will continue to cause charges and deductions due to resource occupation even following the service opening, without you adding new service items or resources, or conducting new operations. Please note to add funds to your account in a timely manner to ensure the service is not terminated, or you should conduct service termination operations timely. UCloud Global backend will send an expiration reminder in one or more ways such as SMS/Email/In-site message, etc. before the expiration, please renew your subscription or back up the data. But UCloud Global makes no promise that the above information will be received by you. If your resources still have not been adequately recharged and renewed 3 days after the expiration, UCloud Global will suspend the machine operation; if your resources still have not been adequately recharged and renewed 7 days after the expiration, UCloud Global has the right to delete resources; if your resources still have not been adequately recharged and renewed 14 days after the expiration, UCloud Global has the right to clear your data and cannot provide recovery. Once your service is terminated due to resource expiration and arrearages, you should still pay for the unpaid fees. UCloud Global reserves the right not to provide you with service and/or technical support, or to terminate service and/or technical support until you have paid all the fees according to the agreement. At the same time, UCloud Global reserves the right to charge you a late fee at a rate of three-thousandths of the unpaid fee on a daily basis and UCloud Global reserves the right to pursue legal accountability for arrearages in postpaid services.

  1. You are aware and agree that, our company will dedicate itself to providing you with the best services, so besides the following reasons, our company does not accept your unreasonable refund request: (1) Service quality drops drastically due to reasons on our part; (2) Our company can’t provide the service you select due to qualification and other reasons; (3) Our company discloses your trade secrets to third parties for commercial purposes, except for the exceptions mentioned in this agreement or privacy policy; (4) You have submitted a written application 30 days in advance, agreed to pay a penalty of 20% of the remaining amount, and reached a written agreement with our company.

You are aware and agree that, given that the internet is a globally interconnected network, due to occasional blockages on the backbone paths of operators leading to a decrease in access speed or the setting or installing of user programs on the server possibly causing a period of interruption, the above are normal circumstances, and our company can be exempted from responsibility. Also, our company is exempted from responsibility for any losses caused to you or other parties due to the actions or inactions of operators.

You are aware and agree that, all of your account operations are expressions of your true intentions and have legal validity. Our company will assist as soon as we receive information about the consequences caused by your misoperation, but we do not bear any responsibility. At the same time, UCloud Global does not bear any legal responsibility for the occurrence of the following relevant matters: (1) Leakage of information and data due to your behavior or leakage of information and data due to third-party scam and other means; (2) Any leakage of information and data caused by you telling others your user password or sharing your registered account with others, or personal information and data leakage that is not caused by UCloud Global; (3) Any disputes arising from any third party’s use of your corporate information according to the provisions of UCloud Global various service terms and declarations; (4) Data leak caused by reasons not directly caused by UCloud Global or beyond reasonable security guarantee scope of UCloud Global platform; (5) Any consequences caused by force majeure; (6) Other uses or exemption conditions outlined in UCloud Global various service terms and declarations.

You confirm you have the right to represent your company for the above commitment and have carefully read the above terms. Our company has fulfilled the reasonable notification obligation. If all losses caused by the violation of the above principles occur, our company will not bear any responsibility.
